60/40 ownership

hi im just curious if i as a foreigner own bussines 100% invest here in philippines and only has right 40% share under my name as a foreigner and the rest is filipino 60% (divided into three person, 30%, 20% and 10%), if i want to be as a president i must increase the capital. is anybody has experience like this? thanks in advance.

Hi Tommy and welcome to the forum.

Firstly one of our members that is familiar with corporate law and foreign participation with companies here seems to have disappeared some months ago but was all over the subject you raised.


My readings of the law as yours should be as follows.

You put 100% equity into an existing or start up company. As the 40% share holder and while perhaps COE must bow to the whims of the other shareholders,,,,,, they can easily push you out if they get their heads together.


So you invest US 1M in a company and straight away sign over 60% other members of the board that may end up hostile and take you to the cleaners, be very wary Tommy, here is fraught with danger unless you know what you are doing.

The Philippina partner owning 60% can still take you to the cleaners. Corporate law here is Filipino first, all the unwary go to the back.
