I hope this would be helpful and benefit everyone :

(PT Is for Limited liability companies)

PROCEDURE FOR ESTABLISHMENT PT, CV, FDI, domestic investment.

Establishment Procedure PT, CV, PMA is very simple.
Establishment PT will get sepert document:

a. Establishment Deed
b. Justice SK
c. Domicile
d. Registered Tax Certificate
e. TIN
f. SIUP (a company trading permit)
g. TDP (company registration)



The procedure of establishment PT:

1. Collect documents such as those in the form that we provide.

2. Form Filling Establishment PT

        a. Classification Election PT:

            - Small PT: the Capital Deposit between 50jt s / d Rp. 500jt

            - PT. Medium: The Capital Deposit between 501jt s / d 10 Billion

            - PT. Large: The capital limit above 10 Billion

        b. Sector Classification Election SIUP

            Selection fields in SIUP refers to  classification to ISIC 2010 )

            Selection of business in SIUP should refer to the intent and purpose of the business establishment (Describe the purpose / employment firm)

3. Selection of Place of Business

    a. Place of business in Jakarta have an office area or have a BMI with Offices Appropriation

    b. Place of Business outside the Jakarta instance Depok, Bogor, Tangerang and Bekasi allowed in residential areas or in residential areas with a record of administration should request letters PT, or CV to the local Board of RT and RW

4. Implementation Arrangements PT, CV, PMA

Implementation Arrangements PT can we performed according to the schedule have been agreed:

    a. Fast Track.

    b. Regular path.

Terms Handling Establishment PT

    Identity Card (KTP) founders (future shareholders) and Family Card (KK) for the Director / Managing Director.
    Deed made before Notary.
    Domicile of the company (the company must reside in the office)
    TIN (arrangements made in the tax office where the company will be domiciled).
    Submission of application for approval of establishment of limited liability through a notary.
    The timing of the Decree of the Minister of Justice and Human Rights more than 2 (two) weeks after the data submitted by the domicile and Tax Deed concerned.

Don't forget that Indonesian Government now are very strict with tax regulation, I suggest that you find auditing firm that knows Indonesian Tax Regulation well. I have help friends build there companies down here too, keep the book clean so government and bank can help you with your business.

Oh yeah if your company involve export and import goods, you should go to Trade ministry and Customs, because you have to obtain NIK for Export and Import (Nomor Identitas Kepabeanan / Custom Identification Number) you will also needs NPIK (Nomor Pengenal Importir Khusus) for importing special goods especially machinery.
