is there a reason why you would want to acquire a shareholding in the enterprise, later rather than sooner?

Hello Melvyn,
If you already have a partner with whom you want to do business, it's better to start right away as a limited company with 2 shareholders. You will have a better legal protection of your interest than using a temporary status via a business household since this is a completely separate legal entity in which you have no right at all.
If your partner proposes this, he/she is having probably other reasons....

Hi Simon,

I was told  that for a 2 members LLC, the local partner will holds 51% while the foreign partner will holds 49% of the shareholding capital. As I would be providing 100% of the capital investment, I hope you could offer your views on how to protect my business interest and investment of those under the local partner's name.

Normally after Jan 2015 foreigners can have up to 100% ownership of restaurant/cafe business in VN according to WTO rules
