Thai shareholders problem

Purchased a villa in Phuket November 2023  with an existing company . The lawyer set up the whole transfer of the company with two Thai shareholders and myself as the director. I paid 10k Thai Baht each for the shareholder  yearly fees ( This was  set up by Lawyer) .

I  have just been invoiced  to pay 25K for end of year ( 2023 January to December 2023 ) Tax declaration PND 50. I technically owned the company for I month and I am invoiced for the whole of 2023. The sales and purchase contract prepared , after due dilligence by the Lawyer ,   declared the company owed no taxes or any other debts.

I have lost confidence in the lawyer and want to breakaway but dont know where I stand re: the shareholders. I presume the Lawyer will not be happy about replacement of shareholders. I suspect he has some vested interested in this set-up. He was recommended by a “friend”: not the most transparent of lawyers.

I want to know if anybody has any similar situations they know about.

Any information would be much appreciated.
